ZEN TECHNOLOGIES: BOARD APPROVES 51.98% STAKE ACQUISITION IN COGKNIT SEMANTICS FOR UP TO ₹135.15 CR 🟢
• Zen Technologies to acquire a 51.98% controlling stake in Cogknit Semantics Private Limited on a fully diluted basis. • Total acquisition consideration: Up to ₹135.15 crore in cash. • Acquisition through purchase of existing equity shares and subscription to Series A compulsorily convertible cumulative preference shares. • Cogknit Semantics develops AI-powered battlefield management and situational awareness systems for defence forces. • Acquisition will expand Zen Technologies' defence portfolio beyond training and simulation into AI-enabled battlefield management. • Target company's revenue: * FY26: ₹0.48 CR * FY25: ₹0.78 CR * FY24: ₹2.24 CR • Transaction expected to be completed by December 13, 2026, subject to conditions. • Cogknit Semantics will become a subsidiary of Zen Technologies upon completion.
