ZENTEC : ACQUIRES 51.98% STAKE IN COGKNIT FOR RS 135.15 CR

• Board approved investment of ₹135.15 Cr for 51.98% stake in Cogknit Semantics on fully diluted basis • Cogknit is a Bengaluru-based defence technology company that won the iDEX challenge to build a Battlefield Management System for Main Battle Tanks • Investment comprises subscription to Cogknit's primary funding round plus acquisition of existing shares; investor Ashish Kacholia and associates also invest in the primary round • On completion, subject to customary closing conditions, Cogknit will become a subsidiary of Zen and its founding team will continue to lead the company • Cogknit's BMS, designed and developed in India, has completed field trials with the Indian Army and adds the command-and-control layer intended to complement Zen's proposed Samvid AI platform
