• Board approved scheme of amalgamation of DEXIT Global, a wholly owned subsidiary, into CL Educate • DEXIT FY26 standalone turnover ₹223.47 Cr; CL Educate standalone turnover ₹275.28 Cr and consolidated ₹548.12 Cr • No shares will be issued and no cash consideration is involved under the scheme • Scheme subject to NCLT and other regulatory approvals • No change in shareholding pattern of CL Educate pursuant to the scheme
