• Board approved investment of up to ₹35 crore in SaiEdge Realty in one or more tranches via subscription to equity shares and/or convertible securities • Stake of up to 49% of SaiEdge's share capital on a fully diluted basis, subject to execution of definitive agreements • SaiEdge incorporated July 28, 2026, with paid-up capital of ₹1 L; has not commenced business and has no turnover • SaiEdge will develop owned commercial office space; Indiqube intends to lease the developed office space on completion • Consideration is cash; price of securities to be determined on execution of definitive agreements • Not a related party transaction now, but SaiEdge becomes a related party post investment
