SYSTEMATIC: ACQUIRES 100% STAKE IN WIRE BRIGADE FOR RS 21.5 CR
• Company entered SPA on 19 October 2026 with Veritas Industries (seller) and Wire Brigade Industries (target) • To acquire 10,000 equity shares, or 100% of WBIPL, at ₹21,500 per share • Aggregate consideration ₹21.5 Cr, discharged in cash and share swap • 9,42,600 fully paid equity shares of ₹10 each to be allotted to VIPL at ₹228 per share for 9,996 WBIPL shares; balance 4 shares for cash • WBIPL will become a wholly owned subsidiary post completion • VIPL and WBIPL belong to promoter group; transaction is a related party deal
