GRAUER & WEIL : SIGNS MOU WITH RENA TECHNOLOGIES FOR SOLAR JV

• Company executed MOU with RENA Technologies GmbH on October 20, 2026 to form a joint venture company supporting the solar manufacturing value chain • Both parties to have equal rights in the management and governance of the JV company • RENA will license its IP to the JV company for a mutually agreed license fee/royalty • Special rights include right to appoint directors, first right to subscribe in case of share issuance and right to restrict changes in capital structure • Size of agreement stated as not applicable; company holds nil shareholding in the counterparty and RENA is not related to promoter or promoter group • Detailed terms to be set out in definitive agreements and disclosed upon execution
