• NCLT Chennai Bench sanctioned the scheme; certified copy filed with ROC Chennai in Form INC-28 on October 15, 2026 • Scheme becomes effective and operative from November 01, 2026, with appointed date April 01, 2026 • Board fixed November 18, 2026 as record date for allotment of consideration shares to eligible shareholders of the transferor company • Share exchange ratio: 23 equity shares of ₹1 each of Dr. Agarwal's Health Care for every 2 equity shares of ₹10 each held in Dr. Agarwal's Eye Hospital • Authorized share capital of the transferee company rises to ₹110 Cr post effectiveness from ₹90 Cr, with equity shares up to 74,20,00,000 of ₹1 each
