• Scheme of amalgamation with Dr. Agarwal's Health Care becomes effective and operative from November 01, 2026; appointed date April 01, 2026 • Board fixed November 18, 2026 as record date for eligible shareholders to receive consideration shares • Share exchange ratio: 23 fully paid equity shares of ₹1 each of Dr. Agarwal's Health Care for every 2 equity shares of ₹10 each held • Transferor company to stand dissolved without winding up from November 01, 2026 • Board of Directors of the company ceases to exist from the effective date; ROC status to change to Amalgamated • NCLT Chennai sanctioned the scheme by order dated September 30, 2026; certified copy filed in Form INC-28 with ROC on October 14, 2026
