• ANDEMINA SpA incorporated as a wholly owned subsidiary in Chile with 100% shareholding • Company capital CLP 30,000,000 split into 30,000 registered ordinary shares of a single class • Initial subscribed and paid-up capital CLP 100,000 for 100 fully paid shares; cash consideration • Entity to engage in exploration, development, extraction, processing, refining and trading of minerals, ores, metals and mining products • Also to acquire, hold, manage and dispose mining assets, concessions, royalties and interests in mining projects in Chile and abroad • Incorporated to explore future business opportunities in all kinds of mining in Chile and other jurisdictions; no operational revenue yet
