• Board approves sale/disposal of Spinning Unit land at Gat No 347/1, 347/2, 347/3, 355 and 357 with buildings, structures and plant & machinery • Sale to be in one or more tranches to unrelated buyers; no agreement signed and buyer not yet identified • Spinning unit revenue at ₹84.54 Cr (₹8,453.63 lakh), 85.10% of total revenue, per FY26 audited financials • Spinning unit net worth negative at ₹35.59 Cr (₹3,559.45 lakh) as of March 31, 2026 • Consideration to be not less than prevailing market price; sale outside scheme of arrangement under Section 180(1)(a) and Reg 37A • Board also approved shifting registered office within same ROC jurisdiction, from Ambapwadi Phata to Nagala Park, Kolhapur • Both proposals require shareholder approval via postal ballot special resolution Impact: Neutral (Disposal of the unit that contributes 85.1% of revenue with negative net worth; buyer and consideration value still undetermined)
