PDSL: MAURITIUS STEP-DOWN SUBSIDIARY ACQUIRES 100% ORDINARY SHARES OF DBS LIFESTYLE HK

• Step-down subsidiary PDS Sourcing Limited, Mauritius acquired remaining 49% equity stake in DBS Lifestyle Limited, Hong Kong from Mr. Bhawnish Suri and Mrs. Divya Suri, effective October 20, 2026. • PDS Sourcing previously held 51%; post-acquisition PDS's shareholding through it rose to 100% and DBS Lifestyle HK became a step-down wholly owned subsidiary. • Cash consideration for the remaining 49% stake was USD 4,900 (~₹4.65 L). • DBS Lifestyle HK operates in garments & accessories in textile, fashion & apparel; FY2025-26 turnover ₹0.91 Cr, PAT ₹0.12 Cr, net worth ₹0.16 Cr. • Acquisition aims to simplify shareholding, consolidate ownership and enable efficient decision-making and turnaround execution; PDS has initiated name change to PDS Sourcing HK Limited.
