SHYAMMETL : NCLT KOLKATA APPROVES AMALGAMATION OF SVEPL INTO WHOLLY OWNED SUBSIDIARY

• NCLT Kolkata approves scheme of amalgamation of Shree Venkateshwara Electrocast (SVEPL) into Shyam Sel and Power (SSPL), a wholly owned subsidiary of the company • Appointed date 1 April 2024; scheme becomes effective on filing certified copy of the order with ROC West Bengal • SVEPL was acquired by SSPL in August 2021; its turnover doubled to ₹91.75 Cr in FY25 from ₹41.18 Cr in FY24 • No new shares to be issued; SSPL's holding in SVEPL stands cancelled and the transferor will dissolve without winding up • SVEPL had accumulated losses of ₹20.47 Cr at 31 March 2025; merged SSPL net worth ₹5,901.97 Cr as on that date • All assets, liabilities, employees and pending proceedings of SVEPL transfer to SSPL; merger consolidates the aluminium foil portfolio
