• Finance Committee approved subscription to 5,15,954 equity shares of ₹10 face value at ₹1,567/share (₹1,557 premium) • Cash consideration of ₹80.85 Cr; issue price set by independent valuation of PwC Business Consulting Services LLP • Shareholding in ZF Lifetec Rane Automotive India (ZLRAI) to remain unchanged at 49% post investment • ZLRAI manufactures airbags, safety seat belt systems and cushions; FY26 turnover ₹1,180.55 Cr, net worth ₹113.74 Cr • Funds to be used by ZLRAI towards capex and operational expenditure requirements • Completion on or before October 31, 2026; ZLRAI is a related party JV with ZF Automotive JV US LLC
