• Company executed Sale and Purchase of Shares Agreement on 22 October 2026 with NRB Bearings, Amplus Energy Solutions PTE Ltd and Amplus Ampere Private Limited • Acquiring 7,20,000 equity shares of ₹10 each, equal to 1.275% equity stake, held by NRB Bearings, on cash consideration • Cost of acquisition at ₹72,00,000 (₹72 L) • Target is a power sector SPV and a subsidiary of Amplus Energy Solutions PTE Ltd; objective is captive consumption of solar power generated by it • Amplus Ampere incorporated 26 March 2021 with presence in India; last 3 years turnover at ₹17.25 Cr • Completion within 7 days from agreement date or such extended period as mutually agreed
