INDOBORAX : AMENDS KRONOX LAB SPA; REMOVES SELLERS' LOCK-IN AND ROFR
• Executed amendment agreement dated October 22, 2026 with sellers Ketan Vinodchandra Ramani, Pritesh Vinodchandra Ramani, Jogindersingh Gianchand Jaswal and Zenrock Chemicals Private Limited • Amendment deletes clause 9.5 (lock-in on sellers' shareholding) and clause 9.6 (right of first refusal) of the SPA dated August 20, 2026 in their entirety • Sellers' aggregate 9.95% shareholding in Kronox Lab Sciences is no longer subject to lock-in; purchaser ceases to hold right of first refusal over their retained stake • Sellers are erstwhile promoters of the target; on and from September 29, 2026 the purchaser is promoter and ZCPL is a member of the promoter group of Kronox Lab Sciences • Company said the amendment removes residual ambiguity over the sellers' promoter/promoter group status Impact: Neutral (no consideration disclosed; lock-in and ROFR removal cleans up promoter-status ambiguity but frees a 9.95% sellers' stake in Kronox Lab Sciences)
