• Wholly-owned subsidiary HFCL Connectivity Systems Limited (HCSL) incorporated on October 22, 2026 in India • Authorized share capital ₹1 L; HFCL to subscribe 1,00,000 equity shares of Re 1 each at par, aggregating ₹1 L, in cash • HFCL holds 100% of HCSL share capital; entity is yet to commence business and turnover is nil • HCSL to build, operate and maintain telecom networks spanning optical fibre, broadband, wireless, 4G/5G/6G, towers, data centres and dark fibre • Entity belongs to technology and infrastructure services; becomes a related party of HFCL after incorporation • Promoter and promoter group hold no interest in the transaction Impact: Neutral (dedicated telecom infrastructure vehicle at nominal capital; no material earnings impact yet)
