WENDT : INFUSES RS 5.88 CR INTO GERMAN WHOLLY OWNED SUBSIDIARY

• Company infused EUR 0.55 million (~₹5.88 Cr) into Wendt GmbH by subscribing to its equity share capital • Consideration is cash; infusion to meet the subsidiary's ongoing operational requirements • Paid-up equity capital of Wendt GmbH rises to EUR 2.2 million from EUR 1.65 million post infusion • Wendt GmbH turnover at EUR 0.51 million for FY 2025-26; incorporated on 8th July 2025 • Subsidiary is in sale and servicing of grinding and polishing machines and spare parts, based in Tönisvorst, Germany • Company held 100% of the subsidiary before and continues to hold 100% after the infusion; transaction is a related party deal done at fair value
