• NCLT Chandigarh Bench-I approved the scheme; effective from 23 October 2026 after filing with ROC • Transferor Rudra Ecovation dissolved without winding up; appointed date is 1 April 2025 • Transferee to issue 0.213 equity shares of ₹10 each for every 1 equity share of ₹1 each held in Rudra Ecovation • Shiva Texfabs name to change to Rudra Ecovation Limited; post-merger equity shares to be listed on BSE • Shares allotted under the scheme remain frozen till BSE grants listing and trading permission
