SANCODE: PHILIPPINES SUBSIDIARY ACQUIRES 100% EQUITY SHARE CAPITAL OF CIRTEK ELECTRONICS

• Sancode Semi Private Limited, a Sancode subsidiary, agreed to buy 100% of Cirtek Electronics Corporation in the Philippines for USD 20,200,000 cash; USD 11,320,000 is payable on closing and USD 8,880,000 within one year. • The deal covers 155,511,959 equity shares, representing 100% of CEC's issued and outstanding equity share capital. • CEC is a Philippines-based OSAT player; FY2025 turnover was USD 26.62 mn versus USD 23.08 mn in FY2024.
