• Board approved replacing Vedcroft Ventures (6,995 shares, ₹1 Cr) and Deepak Gadia (4,200 shares, ₹60.06 L) with five new non-promoter allottees • New allottees: Samiksha Mogra 2,795 shares (₹39.96 L); Devendra Sharma, Jai Kishan Jasmatiya, Pawan Kripashankar Gupta and Gayatri Dharmendra Prajapat 2,100 shares each (₹30.03 L each) • Equity portion unchanged at 8,66,434 shares at ₹1,430 per share, aggregating ₹123.90 Cr; warrants 30,35,711 at ₹1,430 each, aggregating ₹434.11 Cr • Net proceeds of ₹558.01 Cr to fund retail network expansion and inventory (₹513 Cr) plus general corporate purposes (₹45.01 Cr) • No change in control or management; no open offer triggered under SEBI Takeover Regulations • Corrigendum issued to EGM notice dated October 06, 2026; shareholders to vote on October 29, 2026
