• Board approved rights issue of equity shares up to ₹49 Cr; price, ratio and record date to be decided. • Formed Rights Issue Committee to finalise terms and make regulatory filings. • To invest ₹14 Cr from rights net proceeds in Ampivo Smart Technologies via equity subscription. • Ampivo to issue 14,016 shares at ₹9,988.63 each, aggregating about ₹14 Cr. • Company stake in Ampivo to rise from 4.67% to 12.70% post issue; gets 70% of revenue from customers it onboards. • Board approved withdrawal of preferential issue application after Reg 159(1) non-compliance; fresh application planned.
