IDEAFORGE: US SUBSIDIARY TERMINATES JV AGREEMENT WITH FIRST BREACH
• Wholly-owned subsidiary ideaForge Technology Inc. (Texas) signed a termination agreement with First Breach Inc. (Delaware) on October 23, 2026 • JV entity First Forge Technology Inc. was set up to license, source, design, engineer, manufacture and distribute UAVs in the USA • Termination follows closing not occurring before the Long Stop Date and mutual discussions between the JV parties • Both parties irrevocably released and waived all claims; non-compete and non-solicit obligations do not survive termination • Closing never occurred, so the proposed JV was not implemented; no shares issued and no capital contribution made • No impact on management or control of the listed entity; transaction is not a related party transaction
