SENCO GOLD : ACQUIRES 68% STAKE IN MELORRA PARENT FOR RS 68 CR

• Executes SSA and SHA to acquire 68% of August Jewellery Pvt Ltd (AJPL), owner of brand Melorra, for ₹68 Cr cash in multiple tranches • AJPL FY26 turnover ₹97.93 Cr v ₹33.25 Cr (FY25) and ₹173.63 Cr (FY24) • Overall acquisition 79% including purchase by promoter group entity; AJPL to become a subsidiary of Senco Gold • AJPL runs 20 stores across India in fast-fashion lightweight jewellery; Senco currently manages these stores as master franchisee • Primary investment; fresh equity to fund growth/expansion and discharge old liabilities; completion indicatively by February 2027
