• Consultancy agreement dated October 24, 2026 signed October 26 with Mohammed Hanif Kasim Shaikh for business development and marketing services to the company's Fintech Division • Consultancy fee will be an agreed percentage of net revenue generated by the Fintech Division plus consultancy/other fees received from third parties; size of agreement cannot be quantified • Mohammed Hanif is promoter and shareholder of Emirates Holding FZ LLC, one of the board-controlled subsidiaries of the company • Transaction is a related party transaction and will be on arm's length basis
