VARROC : TO ACQUIRE 45% STAKE IN FORSEE POWER INDIA FOR UP TO EUR 4.5 MN
• Executed Securities Subscription and Purchase Agreement and Shareholders' Agreement for proposed investment in Forsee • Aggregate consideration for primary and secondary equity shares and OCRPS subscription not to exceed EUR 4.5 million; cash consideration • Upon completion, Varroc will hold 2,95,398 equity shares equal to 45% equity stake and 80,380 OCRPS • Forsee manufactures, assembles, tests and validates battery pack systems and BMS for electric mobility; operations in India • Forsee turnover: FY26 ₹18.84 Cr, FY25 ₹10.57 Cr, FY24 ₹16.04 Cr • Completion expected on or before December 31, 2026, subject to conditions precedent
