3M INDIA : TO RECEIVE $13 MN COMPENSATION IN HEALTHCARE AGREEMENT AMENDMENT

• Parties executed 2nd Amendment Agreement to amend Distribution Agreement and LMRA for healthcare business • Certain products to be removed from Distribution Agreement scope following Solventum's divestiture to Thermo Fisher, subject to conditions • Distribution Agreement term extended by additional 2 years for continuing products, in force for 7 years from March 31, 2024 execution • Company to receive one-time compensation of US$13 million from Thermo Fisher Scientific Inc under separate tripartite agreement • Future divestiture compensation set at 100% of preceding 12-month net sales for deals by March 31, 2029, 60% for deals up to March 31, 2031, and nil after March 31, 2031
