• TML CV Holdings B.V., an indirect wholly owned subsidiary, would hold 89.42% of Iveco Group's common share capital, net of treasury shares, if provisional results are confirmed • 238,157,212 Iveco common shares tendered, about 87.81% of common share capital, for aggregate countervalue of EUR 3,429,463,852.80 • Offer price is EUR 14.40 per share after an additional EUR 0.30 per share; threshold condition satisfied • Payment for shares tendered in the acceptance period is due 30 October 2026; acceptance period reopens 2-6 November 2026, with payment due 13 November 2026
