• Loan of up to ₹50 Cr to GDN Enterprises, a 100% wholly owned subsidiary, in one or more tranches • Tenure 3 years at 8.50% p.a. or such other rate as per State Bank of India benchmark; loan is unsecured • ₹100 Cr already outstanding under the existing loan to GDN as on date • Loan agreement executed on October 27, 2026, to fund GDN's business operations and working capital • Transaction is a related party deal to be carried out on an arm's length basis Impact: Neutral (adds up to ₹50 Cr exposure to the WOS on top of ₹100 Cr outstanding, partly offset by 8.50% interest inflow)
