• Acquirers Mr Prafful Agarwal and Mrs Anupam Gupta to acquire up to 43,58,163 shares, or 26.00% of total voting share capital, at ₹10.20/share • Total offer consideration at full acceptance is ₹4.45 Cr; offer opens on December 7, 2026 and closes on December 18, 2026 • Share purchase agreement covers 93,98,455 shares (56.07%) at ₹10/share for ₹9.40 Cr, triggering change in control • Acquirers will become promoters; prior RBI approval is pending for the NBFC target • Escrow account has ₹1.12 Cr deposited, over 25% of the offer consideration
