• Board approved allotment of 97,25,000 fully convertible warrants at ₹40 each (₹10 face value plus ₹30 premium) • Aggregate consideration ₹38.90 Cr; company received 25% upfront i.e. ₹10 per warrant totalling ₹9.72 Cr • Balance ₹30 per warrant (75%, ~₹29.18 Cr) payable within 18 months from allotment on exercise of conversion • Allottees are 118 non-promoter investors; each warrant converts into one equity share of ₹10 face value • Warrants locked-in for the period specified under Chapter V of SEBI ICDR Regulations, 2018 Impact: Neutral (₹9.72 Cr upfront capital inflow, but full conversion would add ~97.25 lakh shares to non-promoter hands)
