TATA MOTORS: DUTCH STEP-DOWN SUBSIDIARY ACQUIRES 89.42% COMMON SHARES OF IVECO GROUP

• TML CV Holdings B.V., indirect wholly owned subsidiary of Tata Motors, acquired 238,157,212 common shares of Iveco Group N.V. in its voluntary tender offer • Tendered shares represent ~87.81% of Iveco's common share capital; offeror holding reaches 89.42% net of treasury shares • Aggregate countervalue is EUR 3.43 billion, at EUR 14.40 per share (cum dividend) • Offer is fully effective and unconditional; payment for acceptance period is on 30 October 2026, acceptance period reopens 2-6 November 2026
