• Rights issue of up to 33,18,503 partly paid equity shares at ₹90 each, including ₹80 premium. • Issue size up to ₹29.87 Cr; ratio 10 rights shares for every 131 fully paid shares held on record date October 30, 2026. • Payment: ₹54 per share on application (60%) and balance ₹36 (40%) on subsequent calls. • Net proceeds to adjust ₹11.60 Cr promoter unsecured loan, invest ₹1.89 Cr in Fratelli Wines winery capex and ₹8.64 Cr to repay trade payables. • Promoter Gaurav Sekhri to subscribe full entitlement and renounced promoter group entitlements. • Issue opens November 6 and closes November 17, 2026; listing on or about November 19, 2026.
