• Company proposes preferential issue of equity shares for consideration other than cash by way of share swap • To acquire 45,85,860 equity shares of Rajal Lefin & Commercial Private Limited, representing 100% of its paid-up equity capital • Up to 27,51,51,600 equity shares of ₹1 each proposed to be allotted to non-promoter allottees at ₹1 per share • Issue price set at ₹1 per share as determined under Chapter V of SEBI (ICDR) Regulations, 2018 • Proposed allotment within 15 days from shareholders' approval or in-principle stock exchange approval or other regulatory approval, whichever is later • Other objects in the AGM notice related to general corporate purposes are retracted; issue is specifically for the RLCPL acquisition
