• Wholly owned subsidiary Equinaire Holdings Limited acquired 20,000,000 shares of Makilala Mining Company, Inc. (MMCI) • The shares represent 40% of MMCI's issued and outstanding share capital • Acquisition was through public auction, as per prior disclosure dated 9 September 2026 • On 26 October 2026, the Philippine Bureau of Internal Revenue issued eCAR No. eCP201300326723 for the share transfer • Transfer was recorded in MMCI's Stock and Transfer Book and stock certificate was issued in EHL's name • EHL is now registered holder of the shares together with attached rights
