NATURA HUE CHEM : PROMOTERS TO SELL 15.53% STAKE, ACQUIRERS TO MAKE OPEN OFFER

• Share Purchase Agreement dated October 28, 2026 between 13 promoter sellers and acquirers Anuj Chahal and Kanika Chahal • Promoter sellers to sell 6,43,600 equity shares of ₹10 each, being 15.53% of the voting share capital • Pre-SPA, acquirer Anuj Chahal holds 1,25,300 shares (3.02%) and Kanika Chahal holds nil • Transaction to trigger a mandatory open offer to public shareholders under SEBI (SAST) Regulations, 2011 • On completion, acquirers will acquire and exercise control and be classified as promoters of the company • Existing promoter directors shall tender their resignation from the board upon completion of the proposed transaction
