• Shekhar Bajaj to transition out as Executive Chairman effective 31 Dec 2026; becomes Non-Executive Director and Chairman Emeritus from 1 Jan 2027, subject to shareholder approval • Sudarshan Sampathkumar, currently an Independent Director, appointed Non-Executive Chairman effective 1 Jan 2027, subject to shareholder approval • Sanjay Sachdeva continues as Managing Director and CEO; MD will lead and run the company while the Non-Executive Chairman leads the Board • New model provides clear separation between executive management and Board leadership for governance, performance oversight, succession and risk • Bajaj family remains long-term promoter and shareholder; Shekhar Bajaj, Pooja Bajaj and Nirav Bajaj continue to serve on the Board Impact: Neutral (Governance restructuring with management continuity; succession and oversight roles formally split, no change to MD/CEO leadership)
