EMBDL : ACQUIRES BALANCE 50% STAKE IN EMBASSY COLUMBIA FOR RS 32.65 CR

• Company executes Share Purchase Agreement dated October 28, 2026 with CP Senior Housing (India) LLC, USA • Acquires 1,12,44,599 equity shares of ₹10 each, the entire 50% stake held by CP Senior in Embassy Columbia Pacific ASL Private Limited • Consideration ~₹32.65 Cr (₹32,65,27,241), arrived at on enterprise value basis, to be settled in cash • Target owns 'Embassy Serene Amara', a premium senior living residential project across ~2.44 acres at Devanahalli, Bengaluru • Target turnover: ₹41.87 Cr in FY26, nil in FY25 and FY24; incorporated April 27, 2021 • Post closing Embassy Columbia becomes a wholly owned subsidiary and the existing JV arrangement stands terminated; completion expected within quarter ending December 31, 2026
