MTAR : GETS NCLT NOD FOR MERGER OF TWO WHOLLY OWNED SUBSIDIARIES

• NCLT Hyderabad Bench sanctioned the amalgamation of Gee Pee Aerospace and Defence and Magnatar Aero Systems into MTAR via order dated October 28, 2026 • Both transferor companies are 100% wholly owned subsidiaries of MTAR; appointed date for the scheme is April 1, 2025 • No new shares to be allotted in lieu of exchange; paid-up capital of the transferor companies stands cancelled on the effective date • Authorised share capital rises to ₹66.85 Cr (6,68,50,000 shares of ₹10 each) from ₹66 Cr post merger • Transferor companies to be dissolved without winding up; stated rationale is simplified structure, integrated operations and lower overheads • Company to file certified copy with RoC in Form INC-28 within 30 days of receipt of the order
