• Company acquired further equity in subsidiaries Gayatri Jhansi Roadways (GJRL) and Gayatri Lalitpur Roadways (GLRL), plus 11.53% in associate Cyberabad Expressways (CEL) • Consideration at Re 1 per share, paid in cash; acquisition completed on 28 October 2026 • Post acquisition, GJRL and GLRL have become wholly-owned subsidiaries of the company • Target companies operate highway construction and maintenance projects under BOT-Annuity model in India • FY26 total revenue: GJRL ₹25.58 Cr, GLRL ₹21.83 Cr, CEL ₹48.23 L • Company expects the acquisition to create synergies and strengthen infrastructure business operations
