• Material subsidiary 63SATS Cybertech to issue and allot 65 warrants to Bennett Coleman and Company Limited (BCCL) • Each warrant valued at ₹1 Cr, aggregating to ₹65 Cr • Subscription price ₹10 L per warrant (10% upfront); balance 90%, or ₹90 L per warrant, payable on exercise into equity • Conversion price and number of equity shares to be determined at a future date per the agreement formula • Capital to support 63SATS working capital and strategic growth; staged structure defers equity dilution and adds brand visibility via an institutional strategic investor • BCCL holds nil shareholding in 63SATS; no special rights sought, not a related party transaction
