UNIMECH : ACQUIRES 76% STAKE IN HOBEL BELLOWS FOR RS 6.08 CR

• Acquires 60,80,000 equity shares (76%) of Hobel Bellows at ₹10/share, total cash consideration ₹6.08 Cr • Shares purchased from Innomech Aerospace Toolings, a wholly owned subsidiary; related party deal at arm's length per valuation report • Post completion, Hobel Bellows becomes a wholly owned subsidiary of the company • Hobel (incorporated January 09, 2026) makes metallic bellows, expansion joints, flexible metallic hoses and assemblies for high-HP diesel engines, locomotives, marine engines and power generation • No size or turnover details available yet as Hobel has not completed one year since incorporation • Completion expected within 2 months, subject to applicable formalities
