PRADEEP METALS : NCLT APPROVES AMALGAMATION OF NAMI CAPITAL

• NCLT Mumbai Bench V sanctioned the scheme of amalgamation of Nami Capital Private Limited into Pradeep Metals on October 29, 2026. • Appointed date is October 1, 2026; the scheme becomes effective after a certified copy of the order is filed with the ROC. • Share exchange ratio: 19,007 equity shares of ₹10 each of Pradeep Metals for every 300 equity shares of ₹10 each held in Nami Capital. • Preference shareholders to receive 1 equity share of ₹10 each of Pradeep Metals for every 17 preference shares of ₹100 each partly paid at ₹16 in Nami Capital. • Nami Capital to be dissolved without winding up; all properties, rights, liabilities, duties and powers transfer to Pradeep Metals.
