• KIMS acquires 21,72,713 equity shares of ₹10 each, representing 51% of Sarvottam Health Care Pvt Ltd, Kakinada • Aggregate cash consideration up to ₹79.50 Cr; board had approved up to ₹80.00 Cr • Target runs the 183-bed Trust Multi Speciality Hospital in Kakinada with FY26 turnover of ₹84.83 Cr and PAT of ₹7.06 Cr • Sarvottam net worth at ₹50.30 Cr; FY25 turnover ₹81.38 Cr and FY24 ₹74.36 Cr • KIMS is the O&M service provider and has a call option agreement; stake acquired as a strategic investment • Share transfer in favour of KIMS expected to be completed in due course
