KROSS : RAISES RS 31.8 CR VIA PREFERENTIAL ALLOTMENT AT ₹212/SHARE

• Board approved allotment of 15,00,000 equity shares at ₹212 each (₹207 premium), aggregating ₹31.8 Cr, to non-promoter investors • Allottees include Rathore Gauravraj Singh Vijaysingh (5 lakh shares), Dhruv Agarwal (5 lakh), Saroj V Rathore (3 lakh) and Richa Gauravraj Singh Rathore (2 lakh) • Separately allotted 15,00,000 fully convertible warrants at ₹212 each to promoters Sumeet Rai (7.5 lakh) and Kunal Rai (7.5 lakh), aggregating ₹31.8 Cr; 25% upfront of ₹7.95 Cr received • Warrants convertible in one or more tranches within 18 months on payment of balance 75%; no change in paid-up capital, shareholding pattern or control on warrant allotment • Paid-up equity capital rises to ₹33.00 Cr (6,60,09,422 shares) from ₹32.25 Cr (6,45,09,422 shares) after the equity allotment • Board constituted a Capital Management Committee to handle allotments arising from conversion of outstanding warrants
