THYROCARE : SELLS 100% STAKE IN NUELEAR HEALTHCARE FOR RS 141.4 CR

• Share Purchase Agreement dated October 30, 2026 to sell 1,11,11,000 equity shares, being 100% of Nuelear Healthcare (NHL), to Trovera Healthcare • Aggregate consideration ~₹141.40 Cr, comprising 42,500 CCPS of Trovera at ₹14,000 each (~₹59.50 Cr) and cash of ~₹81.90 Cr • Cash component subject to adjustment on determination of working capital adjustment per the SPA • Shareholders approved the sale by special resolution on October 29, 2026, including requisite public shareholder approval under Reg 37A • NHL is a material wholly owned subsidiary; Thyrocare will hold no equity in NHL post completion and holds no stake in Trovera • Transaction is not a related party transaction; completion subject to customary conditions precedent
