• Under an SPA dated October 28, 2026, Adimans LLP to sell 9.30 Cr equity shares (59.32% of the company) to Aamanya AG, where Arpit Janmejay Vyas is sole shareholder • Transaction is an inter-se transfer among promoter and promoter group, exempt under Regulation 10(1)(a)(ii) of SAST Regulations • Aggregate promoter and promoter group shareholding remains unchanged post completion; no impact on management or control • Post completion, Deohooti Janmejay Vyas to resign as partner and designated partner of Adimans LLP and as director of the company, unless she elects in writing to continue • Family B members to seek reclassification as public shareholders on the retirement date under Regulation 31A of LODR • Company is not a party to the family settlement agreement; no liability or restriction imposed on it Impact: Neutral (Ownership realignment stays within the promoter group with no change in aggregate promoter holding or control)
