SHANKARA : APPOINTS DHANANJAY MIRLAY SRINIVAS AS MANAGING DIRECTOR

• Board approved appointment of Mr. Dhananjay Mirlay Srinivas as Managing Director with effect from November 1, 2026, for five years • Appointment consequent upon the demise of Founder and Managing Director Mr. Sukumar Srinivas on October 30, 2026 • Srinivas, currently a Non-Executive and Non-Independent Director, joined the company on January 1, 2020 and was appointed to the board on May 16, 2025 with clear succession intent • He was groomed for the role by Mr. Sukumar Srinivas for more than six years • Appointment is subject to shareholder approval through postal ballot • Srinivas holds 81,050 shares in the company and is not related to any existing director Impact: Neutral (Management continuity preserved after founder's demise, but the appointment still needs shareholder approval via postal ballot)
