AMBER: STEP-DOWN SUBSIDIARY ACQUIRES 100% EQUITY OF ASCENT CIRCUITS
• Material subsidiary IL JIN Electronics (India) Limited acquired the remaining 23,401 equity shares, representing 1.50% on a fully diluted basis, of Ascent Circuits from Ms. Manju Thomas. • Consideration was 13,120 Compulsorily Convertible Preference Shares A2 allotted by IL JIN to the seller as non-cash consideration. • Post acquisition, IL JIN holds 100% of Ascent Circuits, which becomes a wholly owned step-down subsidiary of Amber. • The acquisition was pursuant to a Share Swap Agreement executed on 18 October 2026.
