FRACTAL: SWISS STEP-DOWN SUBSIDIARY ACQUIRES PRICING ONE ASSETS WORTH RS 15.21 CR

• Asper.AI Inc, a wholly owned step-down subsidiary of Fractal, acquires certain assets and takes up certain liabilities of Pricing One SA (Swiss law); transaction excludes acquisition of shares or other equity interest in Pricing One SA. • Aggregate transfer price is CHF 13,19,308.76 (~₹15.21 Cr), comprising liabilities of CHF 997,307.76 (~₹11.5 Cr) and assets of CHF 322,001 (~₹3.71 Cr). • Assets include all intellectual property and know-how for Pricing One's P1 Solution, a proprietary AI and advanced analytics software platform; intention is to add Revenue Growth Management talent/capabilities and expand Asper's presence in Europe. • Transaction completed on November 2, 2026, the closing date of the Framework Agreement.
