• Revised aggregate purchase price €24.32 mn; €5 mn paid in cash on June 5, 2026 for 51,10,309 shares or 20.56% stake • Balance €19.32 mn via share swap for 79.44% (1,97,46,236 shares) against 35,185 CCPS at ₹58,028.60 per CCPS • Target turnover €7,306,037 as on March 31, 2026; amended share purchase agreement dated November 3, 2026, with CCPS allotment within 15 days of RBI approval • Related-party transaction on arm's length basis; JCSA continues as majority promoter shareholder post acquisition
